Please read these Terms of Service carefully. By creating an account, accessing, or using HayNet, you agree to be bound by these terms. If you do not agree, do not use the application or the website.
These Terms of Service ("Terms") are a legal agreement between you ("you," "your," or "Customer") and HayNet Ltd ("HayNet," "we," "us," or "our") and govern your access to and use of the HayNet website at https://haynet.horse, the HayNet mobile applications for iOS and Android, the HayNet web application, and all related features, content, and services (collectively, the "Service"). HayNet is an equestrian, barn, and stable management solution for lesson barns, training barns, show barns, and equestrian facility managers.
1. Acceptance of Terms
By clicking to accept these Terms, by registering for an account, or by accessing or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Service. We may ask you to re-accept these Terms when we make material changes. We may update these Terms from time to time as described in the "Changes to These Terms and the Service" section below; your continued use of the Service after a change takes effect constitutes your acceptance of the revised Terms.
2. Description of the Service
HayNet provides software for managing equestrian businesses, including scheduling, automated invoicing, board billing, prepaid lesson and training packages, horse and client records, communication tools, and financial reporting. We may add, change, or discontinue features at any time. We do not guarantee that the Service, or any particular feature, will always be available, uninterrupted, or error-free.
3. Eligibility
You must be at least 18 years old to create an account and use the Service. If you use the Service on behalf of a barn, business, or other organization, you represent that you are authorized to accept these Terms on that organization's behalf, and "you" refers to that organization. The Service is not directed to children, and we do not knowingly allow individuals under 18 to register their own accounts. Minors, such as minor riders, do not hold their own accounts; a parent or guardian who is at least 18 years old may include and manage a minor within a family account and is responsible for that minor's information and for providing any consent required to include it.
4. Accounts and Security
You are responsible for providing accurate and complete registration information and for keeping it current. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. You agree to notify us promptly at help@haynet.horse of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your credentials.
5. Fees, Billing, and Payments
The HayNet software is free to use; payment-processing fees apply to the transactions you process through the Service. Payment processing is handled by third-party payment processors (including Stripe), and the applicable processing fees are described on our website and within the application.
Payment processing and flow of funds. Payments are processed through Stripe using Stripe Connect. To collect payments through the Service, you must create and maintain a Stripe connected account and agree to Stripe's applicable terms (including the Stripe Connected Account Agreement and Stripe Services Agreement), which are agreements between you and Stripe. Funds from a payer (your client) are processed through HayNet's Stripe platform account, settled to your connected account, and then paid out to your business bank account. HayNet is a technology provider, not a bank, money transmitter, or fiduciary; we do not take custody of, hold, or control your funds, which are held and settled by Stripe in accordance with Stripe's terms. Payment card data is handled by Stripe in compliance with the Payment Card Industry Data Security Standard (PCI-DSS), and HayNet does not store full payment card numbers.
You are responsible for the accuracy of the amounts you bill to, and collect from, your own clients, and for all fees associated with your use of the Service. Fees and processing rates may change; we will provide notice of material changes as required by law or these Terms. Except as expressly stated by us or required by law, fees and processing charges are non-refundable.
Taxes. You are solely responsible for determining, collecting, reporting, and remitting any taxes that apply to your business and to the transactions you process through the Service, including any applicable sales taxes. HayNet does not calculate, collect, or remit taxes on your behalf, and the fees and amounts described above are exclusive of any such taxes.
Identity and business verification (KYC). To enable payment processing and payouts, and as required by our payment processors, card-network rules, and applicable anti-money-laundering and sanctions laws, you may be required to provide identity and business verification information ("Know Your Customer" or "KYC" information) to us or to our payment processors. Failing to respond to, or to provide, requested KYC or verification information may result in delayed or withheld payouts and in the suspension or termination of your access to the Service. Where payouts are withheld pending verification, the affected funds are held by Stripe in accordance with its terms and applicable law.
Chargebacks, returns, reserves, and account balances. You are responsible for all chargebacks, ACH returns and refunds, disputed or reversed payments, and any related fees arising from transactions you process through the Service. To the extent permitted by Stripe's terms and applicable law, HayNet and Stripe reserve the right to withhold, set off, debit, deduct, or otherwise recover such amounts and fees — and to establish and hold reserves against them — from your connected account, your account balance, or your current or future payouts, including in cases of fraud, suspected illegal activity, chargebacks or payment disputes, or any amounts you owe. You agree to maintain a positive balance and to repay any negative balance promptly on demand, and you authorize HayNet and Stripe to recover negative balances from your connected account or designated bank account. Your obligations under this section survive termination of these Terms.
6. Your Data and Content
As between you and HayNet, you own the data and content you submit to the Service, including your barn, client, horse, scheduling, and billing records ("Customer Data"). You grant HayNet a worldwide, non-exclusive license to host, store, process, transmit, and display Customer Data solely as necessary to provide, maintain, and secure the Service and as permitted by our Privacy Policy. HayNet does not sell Customer Data or the personal information it contains, and does not use it for advertising or for any purpose other than providing and supporting the Service, except in de-identified or aggregated form that does not identify you or any individual.
You are solely responsible for the accuracy, quality, and legality of Customer Data and for the means by which you acquired it. If you submit information about your clients, riders, staff, or other third parties, you represent that you have the necessary rights, permissions, and consents to do so and to allow HayNet to process that information to provide the Service, including any parental or guardian consent required to include information about a minor.
7. Acceptable Use
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe the intellectual property, privacy, or other rights of any person; (c) upload or transmit malicious code, or attempt to gain unauthorized access to the Service, other accounts, or our systems; (d) interfere with or disrupt the integrity or performance of the Service; (e) reverse engineer, copy, resell, or create derivative works of the Service except as permitted by law; or (f) use the Service to send unlawful, fraudulent, harassing, or deceptive communications. We may investigate and take appropriate action, including suspending or terminating accounts, for any violation.
8. Third-Party Services
The Service relies on and integrates with third-party services, including payment processing (Stripe), cloud hosting and data storage providers, and mobile app distribution platforms (the Apple App Store and Google Play). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for the acts, omissions, availability, or content of third-party services, and your dealings with them are solely between you and the relevant provider.
9. Intellectual Property
The Service, including all software, design, text, graphics, logos, and the "HayNet" name and marks, is owned by HayNet Ltd or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. No rights are granted to you other than those expressly set out in these Terms.
10. Privacy
Our collection and use of personal information in connection with the Service is described in our Privacy Policy. With respect to information you submit about your clients and other third parties, you are responsible for that information and HayNet processes it on your behalf to provide the Service; HayNet does not sell it or use it for its own purposes. By using the Service, you consent to the data practices described in our Privacy Policy.
11. Termination and Suspension
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service, in whole or in part, at any time if we believe you have violated these Terms, if you fail to respond to or provide requested identity or KYC verification, if required by law, or to protect the Service, our users, or third parties. Upon termination, your right to use the Service will cease. Sections of these Terms that by their nature should survive termination — including those relating to data ownership, intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, timely, or error-free, that defects will be corrected, or that the Service will meet your requirements. You use the Service at your own risk. HayNet is a management tool and does not provide legal, financial, tax, accounting, or veterinary advice.
13. Limitation of Liability
To the fullest extent permitted by law, HayNet and its officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of, or inability to use, the Service, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of the total amounts you paid to HayNet for the Service (including any payment-processing fees retained by HayNet) in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars (USD $100). Nothing in these Terms excludes or limits either party's liability for fraud or fraudulent misrepresentation, gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited under applicable law.
14. Indemnification
You agree to indemnify, defend, and hold harmless HayNet Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any applicable law or the rights of any third party.
HayNet IP indemnification. HayNet will defend you against any third-party claim alleging that the Service, as provided by HayNet and used in accordance with these Terms, infringes that third party's patent, copyright, or trademark or misappropriates its trade secret, and will indemnify you for damages and costs finally awarded against you (or agreed by HayNet in settlement) on such a claim. If the Service becomes, or in HayNet's reasonable opinion is likely to become, the subject of such a claim, HayNet may, at its option and expense, (a) procure the right for you to continue using the Service, (b) modify or replace it so that it is non-infringing, or (c) if neither (a) nor (b) is commercially reasonable, terminate the affected Service and refund any prepaid, unused fees. HayNet has no obligation under this paragraph for any claim arising from your Customer Data, your use of the Service in violation of these Terms, or the combination of the Service with products or services not provided by HayNet. This paragraph states HayNet's entire liability, and your sole and exclusive remedy, for third-party intellectual-property claims.
Indemnification procedure. The party seeking indemnification will (a) promptly notify the other party in writing of the claim (a delay in notice does not relieve the indemnifying party except to the extent it is prejudiced), (b) give the indemnifying party sole control of the defense and settlement of the claim (provided that no settlement imposing liability or any obligation on the indemnified party may be entered without that party's prior written consent, not to be unreasonably withheld), and (c) provide reasonable cooperation at the indemnifying party's expense.
15. Changes to These Terms and the Service
We may modify these Terms from time to time. When we make material changes, we will update the "Last Updated" date above and, where appropriate, provide additional notice, such as by email to the address associated with your account or by a notice within the Service. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms. We may also change, suspend, or discontinue any part of the Service at any time.
16. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in Colorado will have exclusive jurisdiction over any such dispute, and you consent to the personal jurisdiction of those courts, except where prohibited by applicable law. Before filing a claim, you agree to first contact us at help@haynet.horse and attempt in good faith to resolve the matter informally for at least thirty (30) days from your notice.
17. Miscellaneous
These Terms, together with our Privacy Policy, constitute the entire agreement between you and HayNet regarding the Service and supersede any prior agreements on that subject. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Nothing in these Terms creates any partnership, agency, or employment relationship between you and HayNet.
